RESOLVED to approve the 5 draft annual trustee reports set out in Appendices 1-5 of the report, and that the Chair of the Charity Trustee Committee sign and date clean copies of the same on behalf of the charity trustee. The Chair of the Charity Trustee Committee signed and dated clean copies of each of the 5 reports.
Louise Harries presented the report to the Committee outlining the statutory requirements under section 162 of the Charities Act 2011, to prepare an annual report. She noted that in accordance with the Charity Commission guidance, where a charity’s income is under £500,000 per annum a simple report can be compiled, and where the income is less than £25,000 annum, there is no requirement to produce a report. Reports had been prepared for the 5 charities, however as the income for 2024-25 did not exceed £25,000 they did not require submission to the Commission. Members requested further information regarding the Charity of Richard James Thomas, and it was confirmed that Louise Harries had been in discussion with the Ceredigion Museum staff regarding the ownership of the collection so that a report on the review of the trust can be brought to Committee. Following discussion and a vote it was RESOLVED to approve the 5 draft annual trustee reports set out in Appendices 1-5 of the report, and that the Chair of the Charity Trustee Committee sign and date clean copies of the same on behalf of the charity trustee. The Chair of the Charity Trustee Committee signed and dated clean copies of each of the 5 reports.

RESOLVED to: • NOTE the heads of terms proposed for the lease and that Officers will obtain a qualified surveyor’s report on the proposed lease terms for consideration at the next available Committee; • APPROVE that the trust enter into a Licence with New Quay Town Council to consent to the works set out in the report, such Licence to include, but not be limited to, the conditions set out in the report and to authorise Legal Services to undertake all necessary formalities to execute and complete the Licence.
Louise Harries presented the report to the Committee, giving an outline of the proceedings to date. It was noted that the New Quay Town Council plus a CIO had proposed to set up and registered as a tenant, with a tenancy term of 20 years with breaks at year 5,10 and 15 with no statutory right to renew the Lease at the end of the Term, it would be through agreement only. Rent would be payable as a peppercorn rate with the tenant responsible for all repairs and maintenance at the site with provision included in the lease or in a Licence for Works granted at the same time as the Lease to remove the building and trees (subject to compliance with legislation such as planning etc.). It was also noted that the responsibility to provide building insurance, if applicable and public liability insurance would rest with the Tenant. Louise Harries also noted that should the trees and building on the property be removed by the Tenant, it would be undertaken at no cost to the trust. Members asked whether the breaks in Tenancy would apply to the Trust also, and it was confirmed that they would not as grant funders would not look favourably on landlord breaks as it reduces the security of their funding. Members also asked if the Tenant would be eligible for grant funding from Ceredigion County Council, as this did not apply to Town and Community Councils. It was noted that the Tenant was proposing to establish a charitable status which would overcome such restrictions. Following discussion and a vote, it was unanimously RESOLVED to: • NOTE the heads of terms proposed for the lease and that Officers will obtain a qualified surveyor’s report on the proposed lease terms for consideration at the next available Committee; • APPROVE that the trust enter into a Licence with New Quay Town Council to consent to the works set out in the report, such Licence to include, but not be limited to, the conditions set out in the report and to authorise Legal Services to undertake all necessary formalities to execute and complete the Licence.
Louise Harries presented the report to the Committee, noting that the CIO had requested consent to undertake works to replace the external emergency exit metal steps at the New Quay Memorial Hal. She noted that the Estates and Property Services were happy with the proposal provided that the steps have open non-slip steel flooring, and that the CIO complies with all relevant legislation applicable to the replacement and obtaining any other required consents i.e. building regulation. She also noted that there would normally be a charge for officer time, however officers proposed to include these additional works with other applications and not charge an additional fee at this time. However, any future requests would be subject to a charge. As the works were considered by Estates to be minor, the matter was dealt by delegation to officer. The content of the report was NOTED by the Committee.
