RESOLVED (a) That the governance structure of the South West Wales Corporate Joint Committee be noted. (b) That a review of the number of meetings per year required for the Sub-Committee be scheduled for July 2026.
The Sub-Committee considered a report by the Monitoring Officer regarding the reconstitution of the South West Wales Corporate Joint Committee. The Monitoring Officer introduced the report highlighting that at the Annual General Meeting held in May, the Committee agreed to implement several structural adjustments to improve the efficiency of its operations. Notably, it was agreed for the Economic Wellbeing and Energy Sub-Committees to be merged into a single entity due to overlapping membership and reduced volume of business. The Governance and Audit functions were stated to remain unchanged, with a minimum of two meetings per year now formally recorded at Corporate Joint Committee level, as requested by this Sub-Committee. It was stated that the newly constituted Private Sector Advisor Board was established following a competitive recruitment process, with all members signing co-option agreements and receiving training on conduct and governance. In summing up, Members were advised that efforts were underway to align the governance structures of the Corporate Joint Committee and Swansea Bay City Deal meetings to streamline decision-making and promote regional economic development. Following concerns raised by Paula O’Connor, assurance was given that two meetings per year seemed adequate given the number of previously cancelled meetings and current level of active work; however, the Chair provided assurance that she would monitor the matter over the coming months and would be happy for the Sub-Committee to meet more regularly if the need occurred with a formal review of the arrangement being undertaken in a year’s time. Moved by Councillor Steve Alderman; Seconded by Malcolm MacDonald. The vote, undertaken by way of a show of hands, was carried. RESOLVED (a) That the governance structure of the South West Wales Corporate Joint Committee be noted. (b) That a review of the number of meetings per year required for the Sub-Committee be scheduled for July 2026.

The Sub-Committee considered a report by the Head of Internal Audit regarding the Internal Audit Charter for 2025-26. The Head of Internal Audit introduced the report and highlighted that the Internal Audit Charter had undergone significant revision following the introduction of the Global Internal Audit Standards in January 2025. Details of the updated Charter were outlined and it was stated that it now reflected enhanced detail and aligned with both the Global Internal Audit Standards and the Application Note, with a range of key changes being outlined. It was noted that the Charter prescriptively covered four core areas of which further detail was provided and Members were advised that the Charter would be reviewed and re-approved annually, with any amendments clearly identified. No questions were raised. Moved by Councillor Mike Harvey; Seconded by Paula O’Connor. The vote, undertaken by way of a roll call, was carried. RESOLVED That the Audit Approach Letter be noted.
The Sub-Committee considered a report by the Chief Finance Officer regarding the Audit Wales Audit Approach Letter. The Chair welcomed Jason Blewitt and Gareth Jones from Audit Wales to the meeting to partake in this item of business. Mr Blewitt introduced the item stating that the annual letter outlined the scope of work to be undertaken, the Audit Team assigned, and the associated fee. It was stated that the Financial Audit would focus on the Corporate Joint Committee’s annual return, with the statutory deadline set for 31 October, although stated that the audit work had already been completed. It was highlighted that the fee had increased by 1.7%, resulting in a total uplift of approximately £70 across both financial and performance audit elements. Mr Blewitt then handed over to Mr Jones to provide a summary of the Performance Audit component. Mr Jones began by reminding Members of the letter issued by Audit Wales in 2023, which outlined recommendations for the Corporate Joint Committee’s development. It was stated that in addition to the financial audit work already completed, Audit Wales would continue to monitor the Corporate Joint Committee’s progress in addressing the recommendations throughout 2025–26. It was noted that meetings would be arranged to assess ongoing developments, with a progress report on the implementation of the Audit Wales recommendations scheduled for consideration later on in this meeting’s agenda. Moved by Councillor Steve Alderman; Seconded by Councillor James Henton The vote, undertaken by way of a show of hands, was carried. RESOLVED That the Audit Approach Letter be noted.
The Sub-Committee considered a report by the Chief Finance Officer regarding the South West Wales Corporate Joint Committee Annual Return for 2024-25 The Chief Finance Officer introduced the report and stated that responsibility for approving the Accounts had been delegated to the Governance and Audit Sub-Committee; however, due to the Corporate Joint Committee’s turnover being below £2.5 million, a simplified annual return would suffice rather than a full Statement of Accounts. Attention was drawn to the summary provided and information regarding the increase of the original budget was outlined. The actual expenditure was highlighted with a surplus being concluded. It was noted that the report also highlighted a significant increase in staffing costs compared to the previous year, attributed to recruitment delays and changes in personnel in the previous year. Members were advised that the Annual Return had been reviewed and approved by Internal Audit and was pending final approval by Audit Wales. [Councillor Dai Thomas left the meeting at this juncture.] Due to the above Councillor exit, the meeting became inquorate and the Monitoring Officer advised that the meeting had to be adjourned. It was agreed that this item of business and all remaining items of business on the agenda would be rolled over for consideration at the next Sub-Committee meeting. Before the meeting concluded, Members raised dissatisfaction with the quality of the platform used to conduct the meeting and requested that the next Sub-Committee meeting be held via Microsoft Teams.
