Cabinet considered a report by the Assistant Chief Executive which sought approval to constitute the Celtic Freeport Company Limited as an operational company; to approve the governance documentation (Articles of Association and Members’ Agreement) to establish the Company; to obtain a membership; and to appoint a director to sit on the board of the Company. The Assistant Chief Executive presented the detailed report which set out the governance arrangements that would be put in place to oversee the implementation of the Freeport and sought formal authority for the Company to be constituted to deliver on the Freeport objectives. He pointed out that the report was the same as one recently considered by the Cabinet of Neath Port Talbot County Borough Council and that it had been necessary to call the Extraordinary Meeting to be on the same timeline as the other partners. Cabinet was advised that the Assistant Chief Executive was proposed to be appointed as the Council’s nominated Director to the non-remunerated post. This mirrored the arrangement in Neath Port Talbot. Cabinet was further advised that if it wished to consider the confidential Appendices relating to the Articles of Association and Members’ Agreement it would need to consider excluding the public. The Assistant Chief Executive referred to the seed capital funding arrangements and advised that a further report would be presented in due course on the establishment of the Public Finance Committee. Councillor Paul Miller pointed out that the establishment of the Freeport Company was the essence of the discussion and that, although it was important, it had a limited role in terms of managing the partnership arrangements and lobbying; and he considered it was the appropriate entity for collaborative working. He stated that it was not envisaged the Company would own land nor be involved in the distribution of public funds, as that would be the role of the Public Finance Committee which would have elected Member representation. Cabinet then considered excluding the public from the meeting in accordance with Section 100A (4) of the Local Government Act 1972, to consider Appendices 1 and 2 to the report. On the basis that the report was a legal necessity to moving the project forward, Councillor Alec Cormack expressed his support for moving forward as efficiently and effectively as possible and supported excluding the public at this juncture to consider the exempt information. Councillor Tessa Hodgson sought clarification on why the two Appendices were exempt. In response, the Head of Law and Governance advised that the documents were in draft; that the Articles of Association once finalised would be put into the public domain, however, the private Members’ Agreement would not be publicly available. Councillor Paul Miller Moved the exclusion of the public; Seconded by Councillor Alec Cormack. The vote, undertaken by way of a roll call, was carried. The votes were recorded as follows: For the Motion: Councillors Alec Cormack, Jon Harvey, Tessa Hodgson, Neil Prior, Rhys Sinnett, Guy Woodham and Paul Miller [7] There were no votes against or abstentions. Councillors must say when they have a personal link to something being discussed, such as a job, a property or a family member. A prejudicial interest is one strong enough that the councillor usually leaves the room and takes no part.
